Company has sent out notices to its second preferred stockholders advising them that they are entitled exchange their present holding of second preferred 3 per cent, cumulative stock for either first preferred 6 per cent, cumulative stock or common stock of the company, par for par. This privilege takes effect June 15, and under the terms of the company's charter exchanges can be made for a period of sixty days thereafter. After sixty days the company has the right to elect for the stockholder in the absence of a choice on his part and can decide that the stock shall be converted into either first preferred or common. The United Light and Railways Company has outstanding at present $2,108,700 par value of second preferred stock.

All of this was issued at the time the United Light and Hail-ways Company acquired the control- years and has been identified with th cotton business for all of his business life.
